These terms are an agreement between Loopr ("Loopr", "we", "us") and the business that installs Loopr on a Shopify store ("you"). By installing or using Loopr, you agree to these terms and to our privacy policy. If you use Loopr on behalf of a business, you confirm you are allowed to accept these terms for it.
1. The service
Loopr is a Shopify app that lets you send WhatsApp messages to your customers, such as order updates, cart reminders and review requests, through the WhatsApp Business Platform run by Meta. We may add, change or remove features over time. If we remove something you rely on, we will try to tell you in advance.
2. Eligibility and your account
- You must run a business, be at least 18 and have a Shopify store in good standing.
- You need a WhatsApp Business account with Meta. Meta decides whether to approve your business, your number, the name customers see and your templates, and how many customers you can message a day. Loopr does not control these decisions.
- You are responsible for everything done under your store's access to Loopr, and for keeping access to your Shopify and Meta accounts secure.
3. Fees and billing
- Loopr's plans and prices are shown on our Shopify App Store listing. Shopify bills you for Loopr on your Shopify invoice, and Shopify's billing terms apply.
- WhatsApp message charges are separate. Meta charges for messages under its own pricing and bills your WhatsApp Business account directly. Loopr is not responsible for Meta's charges.
- Prices do not include taxes unless stated. We will give at least 30 days' notice before we raise the price of a plan you are on.
- Fees are not refundable except where the law requires or where we decide otherwise. Charges made through Shopify are refunded through Shopify.
4. Your responsibilities when messaging customers
You are responsible for the messages you send through Loopr. In particular, you agree to:
- Only message people who gave you their number and agreed to hear from your business on WhatsApp, and keep a record of that permission.
- Stop sending marketing to anyone who asks you to stop.
- Follow the WhatsApp Business Messaging Policy, WhatsApp Commerce Policy, Meta's terms, the Shopify Partner and API terms, and all laws that apply to your messages, including marketing, consumer protection and privacy laws.
- Make sure your messages are accurate and do not mislead customers.
- Tell your customers how you use their data in your own store privacy policy.
5. Acceptable use
You must not use Loopr to:
- Send spam, unsolicited bulk messages or messages to purchased or scraped number lists.
- Sell or promote anything illegal, or anything WhatsApp's Commerce Policy prohibits, such as weapons, drugs, adult content or gambling where not allowed.
- Harass, threaten, deceive or impersonate anyone, or send malware or phishing links.
- Break, probe, overload or work around Loopr's security or limits, or copy, resell or reverse engineer Loopr.
We may suspend sending or access if we reasonably believe your use breaks these terms, puts customers at risk, or puts our standing with Shopify or Meta at risk. Where we can, we will tell you first and give you a chance to fix it.
6. Your data
- You own your store data and your customers' data. You give us permission to use it only to provide, secure and improve Loopr for you, as described in our privacy policy.
- For your customers' personal data, you are the controller and Loopr is your processor. We process it only on your instructions, keep it confidential and secure, use only the providers listed in our privacy policy, help you answer customer requests, and delete it when you uninstall as described there.
- We may use aggregated data that cannot identify you or any person to understand and improve Loopr.
7. Third party services
Loopr depends on Shopify and Meta. Their services are governed by their own terms, and they can change, limit or stop features, pricing or access at any time. We are not responsible for their services, decisions or outages, including a template being turned down, a number being restricted or messages not being delivered.
8. Our intellectual property
Loopr, including its software, design, templates we provide and the Loopr name and logo, belongs to us. While these terms are in effect, we give you a limited, non exclusive, non transferable right to use Loopr for your business. Feedback you give us can be used freely to improve Loopr.
9. Ending the agreement
- You can stop at any time by uninstalling Loopr from your Shopify admin.
- We can end these terms with 30 days' notice, or straight away if you seriously break them or if Shopify or Meta require it.
- When the agreement ends, your access stops and your data is deleted as described in our privacy policy. Sections that by their nature should continue, such as fees owed, disclaimers, limits of liability and indemnity, continue to apply.
10. Disclaimers
Loopr is provided "as is" and "as available". To the extent the law allows, we make no promises beyond those in these terms, including that Loopr will be uninterrupted or error free, or that it will produce any particular sales, delivery rate or result. Message delivery depends on Meta, mobile networks and your customers' devices.
11. Limitation of liability
To the extent the law allows, neither party is liable for indirect, incidental, special or consequential losses, or for lost profits, revenue or data. Our total liability for all claims related to Loopr is limited to the fees you paid us for Loopr in the 12 months before the claim. Nothing in these terms limits liability that cannot be limited by law.
12. Indemnity
You agree to defend and compensate us for claims, fines and costs brought by third parties, including your customers, Meta or regulators, that arise from the messages you send, your lack of customer permission, or your breach of these terms or the law.
13. Governing law
These terms are governed by the laws of India, and the courts of India have exclusive jurisdiction over any dispute, unless the law where you are based gives you a right to bring a claim elsewhere.
14. Changes to these terms
We may update these terms. If a change is significant, we will tell you inside Loopr or by email at least 15 days before it takes effect. Continuing to use Loopr after that means you accept the new terms. If you do not agree, you can uninstall Loopr.
15. General
These terms and our privacy policy are the whole agreement between us about Loopr. If part of these terms cannot be enforced, the rest still applies. Neither party is responsible for delays caused by events beyond its reasonable control. You may not transfer these terms without our consent; we may transfer them as part of a merger or sale of our business.
